Terms of Service

1. Agreement to terms

By accessing or using RankAscend ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Francesco Leoni ("we", "us", "our").

These terms apply to all users, including visitors, registered users, and anyone who accesses or uses the Service in any way.

2. Description of the Service

RankAscend is an SEO content automation platform. It crawls your website, identifies keyword opportunities, generates SEO-optimised articles using AI, and publishes them to your connected repository or CMS on a schedule you configure.

The Service connects to third-party platforms (GitHub, Google Search Console, Hygraph, Instagram, TikTok, Netlify, Vercel) via OAuth2 or API keys that you provide. You remain responsible for all activity that occurs under your connected accounts.

3. Eligibility

You must be at least 18 years old and capable of entering a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Account registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@rankascend.com if you suspect unauthorised access.

5. Acceptable use

You agree not to:

  • Use the Service to generate content that is illegal, defamatory, or infringes any third-party rights.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Use automated means to scrape, crawl, or extract data from the Service beyond normal use.
  • Resell, sublicense, or offer the Service as a white-label product to third parties without our written consent.
  • Use the Service in a way that disrupts or degrades the experience of other users.
  • Attempt to bypass rate limits, authentication, or other technical controls.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Content ownership

You retain full ownership of your website, your site content, and any articles generated by the Service on your behalf. AI-generated content is produced at your direction and is considered your output.

You grant us a limited, non-exclusive licence to access and process your site data and connected accounts solely to deliver the Service.

You are solely responsible for ensuring that content published via the Service complies with applicable law, does not infringe third-party rights, and adheres to the terms of your connected platforms (GitHub, Google, Meta, TikTok, etc.).

7. AI-generated content

The Service uses AI to generate articles. Outputs may be inaccurate, incomplete, or not suitable for your particular use case. You agree to review content before publishing where accuracy is critical.

We make no representations about the SEO performance, accuracy, or legal compliance of AI-generated content. Results depend on many factors outside our control, including search engine algorithm changes.

8. Billing and payment

Paid plans are billed on a subscription basis. Fees are charged in advance for the billing period selected (monthly or annual). All fees are non-refundable except as required by law or as stated in our refund policy.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

If a payment fails, we will notify you by email. Access may be restricted until payment is resolved.

9. Cancellation and termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access until then.

We may terminate or suspend your account at our discretion if you violate these terms, engage in fraudulent activity, or if we discontinue the Service. We will attempt to provide reasonable notice where possible.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from or related to the Service will not exceed the amount you paid us in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless RankAscend and its operators from any claims, losses, damages, and expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.

13. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing law

These terms are governed by the laws of Italy, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Italy.
